This solution is legally valid, recognized by the National Trade Register Office (ONRC), and is primarily intended for start-ups, freelancers, and small businesses that do not have their own premises.

Legal validity of the registered office
The contract concluded with the Romanian Post has the legal nature of a lease agreement and is recognized by the National Trade Register Office (ONRC) as valid proof of a registered office. From a legal perspective, this arrangement is permissible. However, given its novelty, its practical implementation may raise issues: certain institutions—such as ANAF, the courts, banks, or even contractual partners—may be reluctant to accept postal addresses. In such cases, delays or additional requests for documents and clarifications may occur.
Labor law issues
A key issue for employers with employees is the obligations under labor law. According to the provisions of the Labor Code, employee records must be kept at the registered office or workplace where the employees perform their duties. Since a post office cannot be used for workspace or filing, firms with staff must declare a separate workplace or establish a compliant filing solution. In the absence of these, an ITM inspection may result in sanctions.
Notifications and official correspondence
One of the advantages of the service is the SMS notification sent by the Romanian Post upon the arrival of mail. However, there is an associated risk: if the notification fails to arrive, is lost, or the documents are not collected in a timely manner, the company is still considered legally notified. This may have serious consequences, particularly for official documents or procedures subject to strict deadlines.
Perception of partners and institutions
Another important aspect to consider is the company’s public image. While the use of a 'Poșta Română – P.O. Box' address is legally permissible, certain banks, authorities, or business partners may regard this form of address with suspicion. In particular, when applying for loans, participating in tenders, or engaging in international partnerships, reliance on such an address may negatively impact the company’s credibility.
Economic activities run on the business premises
According to the Tax Code, for certain activities, such as trade or production, the registered office must coincide with a place of work where the activity is actually performed. In the case of the Romanian Post Office, this is not possible, as the premises are exclusively for the reception of mail. Consequently, if a company declares activities that are carried out on its premises, authorities such as ANAF or ITM could challenge the reality of the premises.
Contract duration and stability
Contracts with the Romanian Post are generally concluded for periods ranging from one to four years. If the institution decides to modify the contractual terms, increase tariffs, or discontinue this type of service in a given area, the company will be required to relocate its registered office. Such relocation entails additional costs, including taxes, legal or notarial fees, and the administrative time necessary to complete the formalities with the Trade Register.
Possible legislative changes
Although the ONRC currently accepts this form of address, there remains a risk that the legislator may introduce additional restrictions or clarifications in the future. Such changes could include limitations on companies with substantial economic activity or the requirement to maintain a physical place of business in addition to the registered office. Any legislative amendment of this nature could oblige companies to relocate their registered office, together with all related costs and administrative implications.
